Terms of Service

These Terms of Service govern your use of the website, logistics services and software services, including A1 Brain memberships, provided by A1 Global Logistics LLC, a Florida limited liability company. By placing an order or using our services you agree to these terms.

1. Business customers

Our services are offered to businesses. You confirm that you act on behalf of a business and have authority to accept these terms for it.

2. Logistics services

• Quotes are valid for the period stated on each quote and depend on supplier stock and freight rates at the time of purchase.
• An order is confirmed only after written acceptance and receipt of payment.
• Title and risk of loss pass to the buyer according to the Incoterms rule stated on the invoice.
• Import duties, taxes and customs clearance at destination are the buyer's responsibility unless agreed otherwise in writing.
• Manufacturer warranties apply as issued by each manufacturer.
• We do not ship goods that are prohibited, hazardous or that require an export license we do not hold, and we may refuse any order that would breach U.S. export or sanctions rules.

3. A1 Brain memberships

• Memberships are billed in U.S. dollars, in advance, on a monthly or annual basis as shown at checkout or in your agreement.
• Memberships renew automatically at the end of each billing period until cancelled.
• You can cancel at any time. Cancellation and refunds follow our Cancellation & Refund Policy.
• We may change prices with at least 30 days' notice before your next renewal.

4. Acceptable use

You may not use our software to send spam, break the law, infringe others' rights, or interfere with the service or other customers. You are responsible for the content your users and customers send through your account and for keeping login details secure.

5. Your data

You keep ownership of the data you put into A1 Brain. You give us permission to process it only to provide the service. Our handling of personal information is described in our Privacy Policy.

6. Intellectual property

The A1 Brain software, website and related materials are owned by A1 Global Logistics LLC or its licensors. A membership gives you a limited, non-exclusive, non-transferable right to use the service during your subscription.

7. Availability and warranties

We work to keep our software available and accurate, but the services are provided "as is" and "as available". To the extent allowed by law, we disclaim implied warranties of merchantability and fitness for a particular purpose.

8. Limitation of liability

To the extent allowed by law, our total liability for any claim is limited to the amount you paid us for the service or order giving rise to the claim in the 12 months before the claim. We are not liable for indirect, incidental or consequential damages, including lost profits.

9. Termination

We may suspend or end service if you materially breach these terms and do not fix the breach within 10 days of notice, or immediately where the law requires it.

10. Governing law

These terms are governed by the laws of the State of Florida. Any dispute will be resolved in the state or federal courts located in Orange County, Florida.
